Overview

Camila Spinola is an associate in the Banking & Finance practice of Tauil & Chequer Advogados in association with Mayer Brown in the São Paulo office. Camila focuses on representing financial institutions, multilateral organizations, equity sponsors, private equity houses and corporate clients in financing transactions, banking regulatory and related matters, including project finance, corporate finance, acquisition finance and out-of-court debt restructurings.

Before joining Tauil & Chequer Advogados in 2020, Camila worked at another prominent law firm.

Experience

  • Advised Banco BTG Pactual on a term sheet for structuring and issuing debentures for 3R Petroleum and 3R Potiguar, for US$500 million. The funds raised, together with the US$500 million in financing already contracted with financial institutions led by Morgan Stanley, will be used to conclude the acquisition of the Potiguar Pole, an upstream (oil and gas producing fields) and mid and downstream (private use terminal, refinery, and tankage park) asset. The pole is currently owned and operated by Petrobras.
  • Advised Concessionária Ecovias do Araguaia, a subsidiary of the EcoRodovias Group, on a long-term financing totaling BRL 4.2 billion, the proceeds of which will be used for the operation, maintenance and recovery, among others, of the BR-153/414/080/TO/GO Highway System. The deal comprises three loans, a Credit Facility with a Brazilian development bank, the Banco Nacional de Desenvolvimento Econômico e Social – BNDES, in the total amount of BRL 3.1 billion, a Bank Credit Note issued in favor of Banco da Amazônia S.A. in the total amount of BRL 461 million and the first issuance of debentures by Ecovias do Araguaia in the amount of BRL 600 million and with maturity term of 29 years, this being the longest operation in the infrastructure debenture market.
  • Advised Via Brasil BR 163 Concessionária de Rodovias S.A., a concessionaire of the Conasa group, on its 1st issuance of debentures, in the total amount of R$ 850 million. The Offering was distributed and placed by the banks, BTG Pactual, Itaú BBA and ABC Brasil, as underwriters. The funds raised by the Offering will be used for Via BR 163/230/MT/PA concession’s investment cycle, as well as for the reimbursement of expenses related to the aforementioned concession.
