Overview

Julio Barboza is a senior associate in the Administrative Law, Regulatory Law and Public Finance Law practice of Tauil & Chequer Advogados in association with Mayer Brown, in the São Paulo office. He has experience on structuring infrastructure projects, providing legal advice regarding regulated industries, government contracts, concessions, public-private partnerships, and administrative proceedings, as well as litigation involving infrastructure projects and public services. He has advised clients structuring the first public transportation electromobility projects in Brazil and was involved in several projects of national relevance structured by BNDES (Eletrobras, CBTU, Furnas Divestment Plan).

Experience

Advised:

  • Companhia Paranaense de Energia (COPEL), a state-owned company operating in power generation, transmission, and distribution, in its privatization process. COPEL turned into a corporation with dispersed ownership through a BRL 5.2 billion public offering on the Brazilian Stock Exchange (B3), diluting the participation of the State of Paraná. Our firm developed the legal structure for the privatization, conducted the legal due diligence for COPEL's financial evaluation, and also advised the State of Paraná in certain aspects of its participation in the offering as selling shareholder. A balance of financial and legal expertise was required for the operation, which was essential to its success.
  • VINCI Airports by revising the legal documents prepared by ANAC for the project, prepared a due diligence report regarding commercial agreements entered into by INFRAERO (former airport operator) and litigation related to the North Block airports, identified and discussed with the client potential risks and liabilities identified in the due diligence procedure, as well as prepared and revised the bidding documents and coordinated the client’s participation in the Auction.
  • The structuring and implementation of the FURNAS Divestment Plan covering more than 230 real estate assets. We assist the client in regulatory and public law issues involving the legal feasibility of implementing alternative structures for the development and implementation of the FURNAS Divestment Plan, considering the practical difficulties of adopting regular bidding procedures. Legal feasibility studies include the possibility of establishing a Real Estate Investment Fund (FII) and/or establishing a real estate management company;
  • Fundação Ezute on preparing the legal feasibility studies for the concession of water and sewage services by the Municipality of Pomerode, State of Santa Catarina. The studies were developed based on a very innovative structure, which we also assisted Fundação Ezute to implement, encompassing the regulations for fund-raising with companies interested in investment opportunities (in a broad sense, with no specification of which project).
  • CRCC in the context of the bidding for the Litoral Paulista Highway System, conducted by ARTESP. Our work included a thorough analysis of the bidding documents and several rounds of discussions with the client, assessing the risks of the concession; preparing multiple clarification requests and assessing relevant answers; preparing a memorandum on specific concession’s aspects; preparing and revising qualification documents.
  • ENEL X in the scope of the Public Consultation procedure for structuring the Public Lighting project in the Municipality of Campinas/SP. Our work included forwarding, to Organs responsible bodies, the materials and suggestions to support the structuring of the project.
  • In consortium with Banco Genial S.A., a bidding procedure carried out by BNDES to provide legal advice within the scope of the privatization of Eletrobrás. Our work included the preparation of a legal mapping report, a modeling report, and a modeling proposal for Eletrobrás' deliberation.
  • BNDES, in consortium with Baker Tilly Brasil Go and G5 Partners, in a competitive bidding procedure carried out by BNDES to provide legal assistance within the scope of the legal modeling of the privatization of Brazilian National Mint. Our work included a legal due dilligence of the Company in order to obtain subsidies to present the proper modeling of privatization.
  • In a consortium with Ernst & Young, the BNDES in the privatization process of the Companhia Brasileira de Trens Urbanos (CBTU), associated with the concession of the public metro rail passenger transport service in the metropolitan region of Belo Horizonte. The auction was successfully held in December 2022, with a premium of 33.9% over the minimum bid. The total investment is estimated at R$4 billion over the 30-year concession period;
